Agreement

These Terms & Conditions ("Terms") govern access to and use of all websites, applications, software products, business systems, consulting services, custom development services, support services, and digital solutions provided by foxgenix ("Company", "we", "our", or "us").

By accessing or using our services, you agree to be bound by these Terms.

Services

Service scope may vary based on individual agreements.

User Responsibilities

Users agree to:

• Use services lawfully
• Protect login credentials
• Comply with applicable regulations
• Avoid unauthorized access attempts

Users are responsible for activities conducted through their accounts.

Acceptable Use

Users shall not:

• Violate laws or regulations

• Disrupt platform operations
• Interfere with security mechanisms
• Reverse engineer proprietary systems
• Misuse platform resources
• Distribute harmful content

Violation may result in suspension or termination.

Intellectual Property

All software, designs, source code, content, frameworks, methodologies, trademarks, branding, documentation, and proprietary materials developed or provided by foxgenix remain our intellectual property unless otherwise specified in a written agreement.

Clients retain ownership of their business data.

Custom project ownership shall be governed by the applicable project agreement.

Project Delivery

For custom development services:

• Requirements must be clearly communicated.
• Timelines may vary based on scope.
• Additional requirements may affect delivery schedules.
• Delays caused by client approvals, content, access, or dependencies may impact timelines.
• Project estimates are based on information available at the time of engagement.

Payments

Clients agree to:

• Pay fees according to agreed schedules.
• Maintain valid payment information.
• Pay applicable taxes where required.

Late payments may result in:

• Service suspension
• Restricted access
• Additional fees where legally permitted

SaaS & Subscription Services

• Access is granted during active subscription periods.
• Subscription fees are non-refundable unless otherwise stated.
• Services may be modified, enhanced, or updated periodically.
• Failure to maintain payment obligations may result in suspension.

Data & Backups

Clients remain responsible for maintaining appropriate backups of critical business information.

While we may maintain operational backups, we do not guarantee recovery of all data under every circumstance.

Third-Party Integrations

Our services may integrate with third-party systems.

We are not responsible for:

• Third-party outages
• Third-party policy changes
• Third-party security incidents
• Third-party service disruptions

Service Availability

We strive to provide reliable services but do not guarantee uninterrupted availability.

Services may experience:

• Maintenance periods
• Technical issues
• Infrastructure interruptions
• Force majeure events

Confidentiality

Both parties agree to maintain confidentiality regarding non-public business information shared during the course of engagement.

Confidential information shall not be disclosed except where legally required.

Limitation of Liability

To the maximum extent permitted by law, Foxgenix shall not be liable for:

• Indirect damages
• Consequential damages
• Loss of profits
• Loss of business opportunities
• Data loss
• Operational interruptions
• Third-party actions

Total liability shall not exceed the amount paid by the client for services during the preceding twelve (12) months.

Indemnification

Users agree to indemnify and hold harmless foxgenix, its employees, contractors, affiliates, and partners against claims arising from:

• Violation of these Terms
• Misuse of services
• Unlawful activities
• Infringement of third-party rights

Termination

We may suspend or terminate services if:

• Terms are violated
• Payments remain overdue
• Illegal activity is detected
• Platform security is threatened

Users may discontinue services according to applicable agreements.

Governing Law

These Terms shall be governed by and interpreted under the laws of India.

Any disputes shall be subject to the jurisdiction of competent courts located in Pune, Maharashtra, India.

Modifications

We reserve the right to modify these Terms at any time.

Continued use of services after updates constitutes acceptance of revised Terms.
